| Search Structure, Arrangement, and Fees |

We commence all assignments with a proposal of services
document which details work to be performed, time schedules, personnel assigned and
cost and billing arrangements. Our charges for search services consist of fees and
expenses. At the beginning of an assignment, we develop a fee and expense
budget for client approval. We work on an exclusive, non contingent basis. |

| Our fee budget is developed after we understand the
scope of the search. The budget is unique to the engagement, and it is based on our
assessment of the search effort required. |
